1. Acceptance of Terms

By downloading, installing, or using ReplyKit ("the App"), you agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a legally binding agreement between you and ReplyKit ("we," "our," or "us"). If you do not agree to these Terms, please do not use the App.

These Terms apply to all users of the App, including free and premium (subscribed) users.

2. Description of Service

ReplyKit is a template keyboard application that allows users to create, save, and quickly access text templates, reply snippets, image templates, and canned responses via a custom keyboard extension. The App is available on iOS and may be available on additional platforms in the future.

The App offers both free features and premium features available through paid subscriptions or one-time in-app purchases.

3. User Accounts & Data

  • ReplyKit does not require user accounts or registration to use the free features of the App.
  • All templates, snippets, and data you create are stored locally on your device.
  • You are responsible for maintaining the security of your device and the data stored within the App.
  • We are not responsible for any loss of data due to device failure, theft, software updates, or unauthorized access to your device.
  • We recommend regularly backing up your device to prevent data loss.

4. Subscriptions

ReplyKit offers premium features through auto-renewable subscription plans. By purchasing a subscription, you agree to the following:

4.1 Subscription Plans

  • ReplyKit may offer weekly, monthly, annual, or other subscription periods. The available plans and their prices are displayed within the App and on the App Store before purchase.
  • Prices are in the currency of your App Store account and may vary by region.
  • We reserve the right to change subscription prices at any time. Price changes will apply to subsequent renewal periods, not to the current active subscription period.

4.2 Free Trial

  • We may offer a free trial period for certain subscription plans. The duration of the free trial will be specified at the time of the offer.
  • At the end of the free trial, your subscription will automatically convert to a paid subscription unless you cancel at least 24 hours before the trial period ends.
  • If you cancel during the free trial, you will retain access to premium features until the trial period expires.
  • Free trials are limited to one per Apple ID or Google account.

4.3 Billing & Auto-Renewal

  • All payments are processed through the Apple App Store or Google Play Store. We do not directly collect or store your payment information.
  • Subscriptions automatically renew at the end of each subscription period unless you cancel at least 24 hours before the current period ends.
  • Your App Store or Google Play account will be charged for renewal within 24 hours prior to the end of the current subscription period at the then-current subscription rate.
  • You can verify the renewal date and manage your subscription through your device's account settings.

4.4 Managing & Canceling Subscriptions

  • You can manage or cancel your subscription at any time through your Apple App Store or Google Play Store account settings.
  • On iOS: Go to Settings > [Your Name] > Subscriptions > ReplyKit > Cancel Subscription.
  • On Android: Go to Google Play Store > Menu > Subscriptions > ReplyKit > Cancel.
  • Cancellation takes effect at the end of the current billing period. You will continue to have access to premium features until the end of the period you have already paid for.
  • Deleting the App does not cancel your subscription. You must cancel through your app store account settings.

4.5 Refunds

  • Refunds are handled in accordance with the policies of the Apple App Store or Google Play Store.
  • We do not process refunds directly. To request a refund, contact Apple Support or Google Play Support.
  • We are not obligated to provide refunds or credits for partially used subscription periods.

5. In-App Purchases

In addition to subscriptions, ReplyKit may offer one-time in-app purchases (e.g., lifetime access, premium template packs, or additional features). By making an in-app purchase:

  • All payments are processed through the Apple App Store or Google Play Store.
  • One-time purchases are non-refundable except as required by applicable law or the policies of the respective app store.
  • Purchased items are tied to your Apple ID or Google account and may be restored on other devices using the same account via the "Restore Purchases" feature in the App.
  • We reserve the right to modify, discontinue, or change the pricing of in-app purchases at any time.

6. Free vs. Premium Features

  • ReplyKit offers a set of features available for free to all users. Premium features require an active subscription or a qualifying in-app purchase.
  • We reserve the right to change which features are included in free and premium tiers at any time.
  • If your subscription expires or is canceled, you will retain access to free features but will lose access to premium features at the end of your billing period.
  • Your existing templates and data will not be deleted if your subscription expires.

7. Acceptable Use

You agree to use ReplyKit only for lawful purposes. You shall not:

  • Use the App to create, store, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable.
  • Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App.
  • Use the App in any way that could damage, disable, overburden, or impair the App or interfere with other users' enjoyment of the App.
  • Redistribute, sublicense, lease, lend, or resell the App or any part of it.
  • Circumvent, disable, or otherwise interfere with security-related features of the App, including features that prevent or restrict use of premium content without a valid subscription.
  • Use any automated system, bot, or scraping tool to access or interact with the App.

8. Intellectual Property

The App, including its design, code, graphics, icons, logos, user interface, and all related intellectual property, is owned by ReplyKit and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal or business purposes in accordance with these Terms. This license does not include the right to modify, distribute, or create derivative works based on the App.

9. User-Generated Content

You retain full ownership of all text templates, image templates, and snippets you create within the App. ReplyKit does not claim any ownership rights over your content. Since all content is stored locally on your device, we do not have access to or control over your user-generated content.

10. Keyboard Extension

ReplyKit provides a custom keyboard extension for use across applications on your device. By enabling the keyboard extension:

  • You acknowledge that the keyboard extension requires "Full Access" permissions on iOS to function properly.
  • You understand that ReplyKit does not collect, log, or transmit any keystrokes or text entered through the keyboard.
  • The keyboard extension only accesses templates and snippets stored within the ReplyKit app.
  • Granting "Full Access" does not give ReplyKit access to your passwords, messages, or any other personal data.

11. Disclaimer of Warranties

The App is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that:

  • The App will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components.
  • The results obtained from the use of the App will be accurate or reliable.
  • Any defects in the App will be corrected within a specific timeframe.
  • The App will be compatible with all devices or operating system versions.

12. Limitation of Liability

To the fullest extent permitted by applicable law, ReplyKit and its officers, directors, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of data, profits, revenue, goodwill, or other intangible losses resulting from:

  • Your use of or inability to use the App, including premium features.
  • Any unauthorized access to or alteration of your data.
  • Any third-party conduct related to the App.
  • Any interruption or cessation of the App's services.
  • Any bugs, viruses, or errors in the App.

In no event shall our total liability to you for all claims exceed the amount you have paid to us in the twelve (12) months preceding the claim, or fifty US dollars ($50), whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless ReplyKit, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with your use of the App, your violation of these Terms, or your violation of any rights of a third party.

14. Modifications to the App & Services

We reserve the right to modify, update, suspend, or discontinue the App or any of its features (including premium features) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the App. If we discontinue a premium feature that is material to your subscription, we will provide reasonable notice and, where appropriate, a prorated refund or alternative access.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of any changes by updating the "Last updated" date at the top of this page. For material changes, we may also provide notice within the App. Your continued use of the App after any changes constitutes your acceptance of the new Terms. If you do not agree with the updated Terms, you must stop using the App and cancel any active subscriptions.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ReplyKit operates, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the App shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, the dispute shall be submitted to the competent courts of the applicable jurisdiction.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ReplyKit regarding your use of the App, and supersede any prior agreements, communications, or understandings, whether written or oral.

19. Waiver

The failure of ReplyKit to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by ReplyKit.
